You state, "...when the pandemic is behind us." Currently, nurses are being traumatized with particularly the suffering of Covid patients and the high number of deaths NOW. I had fewer than 8 in my 34 yr. career in Critical Care. Some RN's now are having 2 of their ICU 2/3

patients die in one 12 hr. shift and may have to assist other RN's in ICU who lose their patients and have to prepare the bodies for the porter to take to the morgue. To not have immediate support and counselling for these nurses is absolutely not okay. There are going to be 3/4

many who leave a career they previously loved and spent 4 years preparing for a long professional career. Now they are disheartened and traumatized as well as exhausted physically (many are working double shifts, many more days without a day off) and definitely mentally and 4/5

emotionally empty. One nurse on Twitter two weeks ago stated in her ICU there had been 12 deaths! Imagine dealing with this one day and having to return to another day of more Covid deaths. There needs to be immediate provision with each hospital to provide an area in the 5/6

I think chrome is intentionally providing shitty user experience for the blocking of HTTP downloads on HTTPS pages, in order to push developers to fix it faster.

you click a HTTP download link on an HTTPS page and what happens? NOTHING. No error page, no pop-up saying "BLOCKED BECAUSE SECURITY", the browser is just like "did you click? I didn't notice"

When we talk about #Tokusatsu FX directors, the first name that come to mind is, understandably Eiji Tsuburaya (FX director for the first Gojira, Ultraman’s father). However, one less-known person is Nobuo Yajima, who passed away two years ago, in November 2019. A THREAD

Born in 1928, Yajima left studies in engineering to join Shochiku in 1949, where he studied everything about movies (even collecting tickets in cinemas !). After watching John Ford’s The Hurricane, he grows an interest in FX, and joins the dedicated team at Shochiku.

His interest for editing came after he met a French editor while working as assistant director, cameraman and editor on the French-Japanese movie Typhon sur Nagasaki. An experience that shaped his vision of FX.

At the time, Tsuburaya was an advisor for Shochiku (since he was forced to leave Tôhô during the purge of occupied Japan). That's when he asked Yajima him to join the team for Gojira when he went back there.

Yajima refused, since he was working at Shochiku at the time, but you can see that he drew interest from the greatest FX director at the time. Fun fact, he created the first color logo of Shochiku !

Create a plan for your options early:

Think of this as investing in your company. If your company fails, your options will be worthless.

If your company does well, exercising too late will be costly.

Secondaries:

Secondary transactions typically first occur at the Series B [although if your numbers are up and to the right & there's demand for allocation -- it can happen at the A].

Take a small % off the table to de-risk yourself financially (rent, food, transportation, etc)

Existing investors will often offer to purchase your secondaries.

This way it keeps your cap table clean and gives your investor slightly more allocation.

Look over your ROFR/Co-sale agreements and chat with your co-founders and/or investors.

If you're selling stock to an existing or new investor during a financing, a "discount" is usually applied.

Make sure you negotiate the discount on the Preferred share price and not Common.

5-20% is considered normal.
